Knocking could be many things. Get if fixed FIRST I would suggest...

It appears to have had break issues a couple of years back but passed.  

Theyve said they resolve both before sale.  What are thoughts on price?

Yes I felt that also.  I told them between 5-5.5, but they were not willing to shift.

Price seems a little chunky, VED/road tax on a 350 is nearly £600 a year as well...

Love the idea of a 350 but like Robert just couldn't swallow the VED cost.
